Terms of Service

These Terms of Service govern the business relationship between Yancheng Mex-core Honeycomb Technology Co., Ltd. ("Mex-core", "we", "us", or "our") and any customer, buyer, or business entity ("you" or "Customer") who purchases products, requests quotations, or engages with our services. Please read these terms carefully before placing any order or entering into a business arrangement with us.
Acceptance of Terms
By submitting a purchase inquiry, placing an order, signing a sales contract, or engaging in any commercial transaction with Mex-core, you confirm that you have read, understood, and agreed to be bound by these Terms of Service.
If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. If you do not agree to these terms, you must not proceed with any order or transaction.
These terms apply to all B2B transactions including, but not limited to, honeycomb core material supply, honeycomb production equipment sales, custom fabrication services, and technical consulting engagements.
Scope of Services
Mex-core provides the following products and services to industrial B2B customers:
- Honeycomb Core Materials: Aluminum, aramid, stainless steel, paper, and PP honeycomb cores supplied in block, slice, sheet, or cut-to-size form.
- Production Equipment: Gluing machines, stacking machines, hot press machines, sawing machines, and expanding machines for honeycomb manufacturing lines.
- Customization Services: Specification-based customization of cell size, thickness, density, dimensions, and material grade per customer drawings or project requirements.
- Technical Support: Process documentation and basic engineering support for customers setting up or expanding honeycomb production capability.
Mex-core reserves the right to decline any order or request that falls outside our manufacturing capability or conflicts with applicable laws and regulations.
Orders & Specifications
All orders must be confirmed in writing via a signed purchase order, sales contract, or written confirmation by both parties. Verbal agreements are not binding until documented in writing.
Customers are responsible for providing accurate and complete technical specifications, including but not limited to cell size, foil thickness, core density, sheet dimensions, material grade, and intended application. Mex-core will manufacture products strictly according to the confirmed specifications.
Any changes to confirmed order specifications must be submitted in writing and are subject to Mex-core's acceptance. Changes requested after production has commenced may result in additional costs or delays, which will be communicated to the customer promptly.
Mex-core is not liable for defects, non-conformance, or unsuitability arising from incorrect, incomplete, or ambiguous specifications provided by the customer.
Pricing & Payment
All prices are quoted in United States Dollars (USD) unless otherwise agreed in writing. Quoted prices are valid for the period stated in the quotation document and are subject to change without notice thereafter.
Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment, unless alternative terms are agreed in the sales contract. Mex-core reserves the right to withhold shipment until full payment is received.
Prices do not include applicable taxes, duties, customs fees, freight, insurance, or any other charges unless explicitly stated. These costs are the sole responsibility of the customer.
Late payments may be subject to a finance charge of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. Mex-core reserves the right to suspend services or future orders for accounts with outstanding overdue balances.
Delivery & Shipping
Delivery lead times are estimates provided in good faith and are not guaranteed. Lead times commence from the date of order confirmation and receipt of the required deposit. Mex-core will make reasonable efforts to meet stated delivery schedules.
Unless otherwise agreed, all shipments are made on EXW (Ex Works) or FOB Yancheng, China basis per Incoterms 2020. Risk of loss or damage transfers to the customer upon handover to the first carrier.
Mex-core is not liable for delays caused by force majeure events, transportation disruptions, customs clearance issues, raw material shortages, or other circumstances beyond our reasonable control.
Customers are responsible for arranging import permits, customs clearance, and compliance with all applicable import regulations in their country or region.
Quality & Inspection
Mex-core maintains a quality control process that includes incoming material inspection, in-process production control, factory inspection reports, SGS reports (where applicable), packaging inspection, and pre-shipment testing for each batch.
Customers may request third-party inspection at their own cost prior to shipment. Inspection arrangements must be communicated and agreed upon before production is completed.
Claims for non-conformance, defects, or shortages must be submitted in writing within 14 calendar days of receipt of goods, accompanied by photographic evidence and relevant documentation. Claims submitted after this period may not be accepted.
Mex-core's liability for confirmed quality defects is limited to replacement of the defective goods or issuance of a credit note, at Mex-core's sole discretion. Return shipments require prior written authorization from Mex-core.
Intellectual Property
All intellectual property rights in Mex-core's product designs, equipment schematics, manufacturing processes, technical documentation, software, trademarks, and website content remain the exclusive property of Mex-core or its licensors.
Customers may not reproduce, reverse-engineer, copy, modify, distribute, or commercially exploit any proprietary materials, technical data, or equipment designs provided by Mex-core without prior written consent.
Where customers provide drawings, specifications, or designs for custom manufacturing, the customer warrants that such materials do not infringe any third-party intellectual property rights and agrees to indemnify Mex-core against any claims arising from such infringement.
Confidentiality
Both parties agree to treat as confidential any non-public business information, technical data, pricing, customer lists, production processes, or other proprietary information disclosed during the course of the business relationship ("Confidential Information").
Confidential Information shall not be disclosed to any third party without prior written consent, and shall only be used for the purpose for which it was disclosed. This obligation survives the termination of the business relationship for a period of three (3) years.
Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by applicable law or court order.
Limitation of Liability
Please read this section carefully. It limits Mex-core's financial liability in connection with the supply of products and services.
To the maximum extent permitted by applicable law, Mex-core's total cumulative liability to any customer for any claims arising out of or related to these Terms of Service, any order, or any transaction shall not exceed the total amount paid by the customer for the specific order giving rise to the claim.
In no event shall Mex-core be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, production downtime, or any other economic loss, even if Mex-core has been advised of the possibility of such damages.
This limitation applies regardless of the legal theory under which the claim is brought, whether in contract, tort (including negligence), strict liability, or otherwise.
Mex-core shall not be liable for damages arising from: (a) misuse or improper application of products by the customer; (b) modifications made to products without Mex-core's written authorization; (c) failure to follow provided technical guidelines or safety instructions; (d) integration of products into systems or assemblies not reviewed by Mex-core.
Disclaimer of Warranties
Mex-core warrants that products will conform to the agreed written specifications at the time of shipment. Except for this express warranty, all products are provided "as is" and Mex-core expressly disclaims all other warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Mex-core does not warrant that products will meet the customer's specific application requirements unless such suitability has been explicitly confirmed in writing by Mex-core's engineering team. Customers are solely responsible for evaluating the suitability of products for their intended applications.
Technical data, performance figures, and application examples provided in catalogs, datasheets, or on our website are for reference purposes only and do not constitute a guarantee of performance in any specific application or environment.
Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.
In the event of a dispute arising from or in connection with these terms or any transaction, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 calendar days of written notice of the dispute.
If the dispute cannot be resolved by negotiation, it shall be submitted to the competent court in Yancheng, Jiangsu Province, China, or to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), as mutually agreed by the parties.
Changes to Terms
Mex-core reserves the right to update or modify these Terms of Service at any time. Updated terms will be published on our official website and will take effect from the stated effective date.
For existing confirmed orders, the terms in effect at the time of order confirmation shall govern that specific transaction. Continued engagement or placement of new orders after the effective date of updated terms constitutes acceptance of the revised terms.
